Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Paidpeper website, account dashboard, file conversion functionality, and related services (collectively, the "Service").

Paidpeper is operated by FLASHFORGE ENTERTAINMENT LTD ("Paidpeper", "we", "us", or "our").

By creating an account, purchasing credits, uploading a file, requesting a conversion, or otherwise accessing or using the Service, you agree to these Terms.

If you do not agree to these Terms, you must not use the Service.

Our Privacy Policy and Acceptable Use Policy form part of these Terms. Where the Acceptable Use Policy imposes a more specific restriction on use of the Service, that restriction applies.

1. Definitions

For the purposes of these Terms:

"Account" means a registered Paidpeper user account.

"Credits" means prepaid units purchased or otherwise made available through the Service and used to pay for file conversions.

"Service" means the Paidpeper website, dashboard, conversion functionality, related software and any other functionality made available by Paidpeper.

"User File" means a file submitted by you for conversion.

"Converted File" means the output generated from a User File in the format selected by you.

"Conversion" means the automated processing of a User File into another supported file format.

"User", "you" and "your" mean the individual or organisation accessing or using the Service.

2. The Service

Paidpeper provides automated server-side file conversion between supported file formats.

The formats and conversion directions currently supported by the Service are published on the Paidpeper website. Supported formats, conversion directions, file-size limits, batch limits and other technical limits may change as the Service develops or as the underlying conversion software changes.

Conversions may be performed using established software running within the Paidpeper processing environment, including software such as Sharp, LibreOffice, FFmpeg and converters developed or maintained for Paidpeper.

The use of third-party or open-source conversion software does not mean that your User Files are submitted to the publishers, developers or maintainers of that software. The conversion software runs within the processing environment used to provide the Service.

Paidpeper does not guarantee that every technically valid file will convert successfully or that every Converted File will preserve every feature, layout, property, metadata field, codec characteristic or other element of the original file.

Conversion between file formats may inherently alter, omit, compress, approximate or otherwise change information contained in the original file.

You are responsible for reviewing the Converted File before relying on it.

3. Our Approach to Your Files

Privacy of User Files is a fundamental part of the Service.

Paidpeper is designed so that User Files are processed only for the purpose of carrying out the Conversion requested by you.

3.1 No persistent file storage

Paidpeper does not maintain a permanent or persistent copy of your User Files or Converted Files.

A User File is made available to the conversion process only for the time technically necessary to perform the requested Conversion.

Any transient processing buffers or temporary technical data required solely to complete the active Conversion are automatically discarded when the processing operation ends.

Paidpeper does not maintain:

• a permanent archive of User Files;
• a permanent archive of Converted Files;
• backup copies of User Files or Converted Files;
• file contents in account history;
• file contents in application databases; or
• file contents in ordinary operational logs.

Once processing has ended, Paidpeper cannot restore or retrieve the file for you.

3.2 No use of file contents for other purposes

Paidpeper does not use the contents of User Files or Converted Files for advertising, profiling, data mining, model training, marketing, resale or any purpose unrelated to performing the Conversion requested by you.

We do not sell, rent or license the contents of your files.

3.3 No human inspection

Paidpeper does not manually inspect the contents of User Files as part of providing the Service. File conversions are automated.

This does not limit our ability to investigate technical or security information that does not require retaining file contents, or to comply with a legal obligation where applicable.

3.4 No third-party conversion service

Paidpeper does not send User Files to third-party file conversion services and does not disclose the contents of User Files or Converted Files to third parties for their own advertising, analytics, profiling, training, resale or other independent purposes.

User Files are processed only within the technical environment used to operate the Paidpeper Service.

Routine internet transmission necessary for a file to travel between your device and the Service is not considered a disclosure of the file by Paidpeper to another party for that party's own purposes.

3.5 No recovery

Because Paidpeper does not maintain permanent copies of User Files or Converted Files, we cannot recover a file after processing has ended.

You must retain your own original file and any Converted File you wish to keep.

Paidpeper is not a file storage, backup or archival service.

4. Ownership of Your Files

You retain all ownership and other rights that you have in your User Files and Converted Files.

Paidpeper does not acquire ownership of your files.

You grant Paidpeper only the limited, temporary right necessary to receive, technically process and convert a User File and to return the resulting Converted File to you.

This right exists solely for the purpose of providing the Conversion you requested and ends when the relevant processing operation is complete.

You represent and warrant that:

• you own the User File or otherwise have all permissions necessary to submit and convert it;
• your use of the Service does not infringe the intellectual property, privacy or other rights of another person;
• processing the User File does not violate any law applicable to you; and
• you are authorised to process any personal data contained in the User File.

You remain solely responsible for the content of files you submit to the Service.

5. Eligibility and Accounts

You must be at least 18 years old, or otherwise have the legal capacity required under applicable law to enter into a binding agreement.

You must provide accurate information when registering an Account and keep that information reasonably up to date.

You are responsible for maintaining the confidentiality of your login credentials.

You are responsible for activity carried out through your Account unless the activity results from a security failure for which Paidpeper is legally responsible.

You must notify us promptly if you believe your Account has been accessed without your permission.

You may not create multiple Accounts for the purpose of circumventing free allowances, technical limits, suspensions or other restrictions imposed by the Service.

6. Credits and Pricing

Paidpeper operates primarily on a prepaid credit model rather than a recurring subscription model.

You may purchase Credits in advance and use those Credits for Conversions.

Unless clearly stated otherwise when you purchase them:

• Credits are purchased as a one-time payment;
• Credits do not automatically renew;
• there is no monthly subscription fee.

The number of Credits required for a Conversion depends on the relevant file category or other pricing rules published by Paidpeper.

Where multiple files are included in one batch or job, the Credit cost is calculated separately for each file at the applicable rate for that file type. Multiple files may be grouped into a single job or transaction record.

Current credit packages, conversion costs and other pricing information are published on the Paidpeper Pricing page.

The Pricing page forms part of the commercial description of the Service.

We may change prices and the number of Credits required for future Conversions.

Purchased Credits do not expire merely because time has passed. They remain available while your Account is active, subject to these Terms, including the provisions on suspension and termination.

Unless otherwise stated at checkout, charges are made in EUR.

If your bank, card issuer or payment provider converts the charge into another currency, any exchange rate, foreign transaction fee or other banking charge is determined by that provider and not by Paidpeper.

7. Free Conversions and Promotional Credits

Paidpeper may provide a limited number of free Conversions, promotional Credits or other introductory allowances.

The current free allowance, if available, is stated on the Paidpeper website.

Free or promotional allowances:

• may be limited to one allowance per person or Account;
• may not be transferred, sold or exchanged for money;
• may be subject to reasonable technical or anti-abuse restrictions; and
• may be changed or withdrawn for future users or future Conversions.

You may not create or control multiple Accounts to obtain additional free allowances.

8. Payments

Payments for Credits are processed through one or more third-party payment providers.

Paidpeper does not need to receive or store your complete payment-card number in order to provide the Service where payment is handled by the payment provider.

Payment providers may process payment and billing information under their own legal terms and privacy policies.

The fact that a payment provider processes payment information does not give that provider access to the contents of the User Files you submit for Conversion through Paidpeper.

You are responsible for ensuring that you are authorised to use the payment method submitted at checkout.

Applicable taxes may be added where required by law.

9. Failed Conversions and Credit Returns

Paidpeper charges for completed Conversions, not unsuccessful attempts.

If a Conversion does not complete successfully, any Credits charged for that Conversion will automatically be returned to your Account.

A completed Conversion is not considered to have failed merely because:

• you do not prefer the appearance or characteristics of the Converted File;
• the target format does not support a feature of the source format;
• information is inherently lost or changed when converting between the relevant formats;
• the Conversion completes technically but produces a result that does not meet a particular subjective or professional requirement.

You should use any available free allowance to evaluate the Service for your intended use before purchasing significant quantities of Credits.

10. Refunds and Consumer Rights

Except where required by applicable law or expressly stated in these Terms, purchases of Credits are non-refundable once completed.

Nothing in these Terms removes any refund, cancellation, withdrawal or other mandatory consumer right that cannot lawfully be excluded.

Where applicable law provides you with a cooling-off or withdrawal period for the purchase of digital services, you acknowledge that requesting a Conversion may involve asking Paidpeper to begin providing the Service immediately.

Your statutory withdrawal or refund rights may therefore be affected once performance has begun, to the extent permitted by applicable law.

If you believe you are legally entitled to a refund, you may contact us using the details in Section 25.

11. Acceptable Use

You must use the Service lawfully and in accordance with these Terms and the Paidpeper Acceptable Use Policy.

Without limiting that policy, you must not use the Service to:

• infringe copyright, trade marks or other intellectual property rights;
• process material where you do not have the right or legal authority to do so;
• process unlawful material;
• process material involving the sexual exploitation or abuse of children;
• distribute malware or files designed to compromise a device, system, application or conversion engine;
• test, probe or exploit vulnerabilities in the Service without written authorisation;
• gain unauthorised access to another Account or to non-public areas of the Service;
• interfere with or disrupt the Service;
• circumvent rate limits, file-size limits, batch limits or other technical restrictions;
• create multiple Accounts to circumvent restrictions or obtain repeated free allowances;
• reverse engineer the Service except to the limited extent that applicable law expressly permits such activity despite this restriction; or
• resell or expose Paidpeper's conversion functionality as your own standalone file conversion service without our written permission or an agreement expressly allowing that use.

Paidpeper may implement reasonable technical controls to protect the Service and enforce these restrictions.

12. Service Limits and Availability

The Service may be subject to limits including:

• maximum User File size;
• number of files processed in one request;
• supported input and output formats;
• rate limits;
• account limits; and
• other technical restrictions necessary for reliable operation.

Current limits are published on the Paidpeper website.

Unless Paidpeper expressly agrees otherwise in writing, the Service does not include a guaranteed service-level agreement or guaranteed uptime.

We aim to keep the Service available and functioning reliably, but we do not guarantee that it will always be uninterrupted, secure or error-free.

We may temporarily suspend some or all of the Service for maintenance, security, updates or other operational reasons.

13. Changes to Formats and Conversion Technology

We may add, modify or remove supported formats, conversion directions, conversion engines, file limits or technical functionality.

A format or conversion direction may be removed where, for example:

• an underlying software component no longer supports it;
• conversion quality becomes unreliable;
• a security issue is identified;
• continued support is technically impractical; or
• continued support creates unreasonable legal or operational risk.

We are not required to continue supporting a particular format indefinitely merely because it was available when you purchased Credits.

Where practicable, we will avoid making changes that unreasonably prevent users from using Credits already purchased.

14. Your Responsibility for Backups

You must maintain your own copy of every User File submitted to Paidpeper.

You must also save any Converted File that you wish to retain.

Because Paidpeper is deliberately designed not to operate as permanent file storage, you must not rely on Paidpeper as your only copy of any file.

You acknowledge that files may be corrupted, incompatible, rejected, unsuccessfully converted or otherwise unusable.

Paidpeper is not responsible for the loss of a file that you failed to retain independently, except to the extent such liability cannot lawfully be excluded.

15. Intellectual Property in the Service

The Paidpeper website, software, interface, branding, design, text, graphics and other materials forming part of the Service, excluding User Files and third-party components, are owned by or licensed to Paidpeper.

Your use of the Service does not transfer ownership of those materials to you.

Subject to these Terms, Paidpeper grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for its intended purpose.

You must not copy, sell, sublicense, commercially exploit, reproduce or create derivative products from the Service except where expressly authorised by us or permitted by applicable law.

Nothing in these Terms changes the applicable licences governing open-source software used as part of the technical infrastructure of the Service.

16. Privacy and Non-File Data

The fact that Paidpeper does not retain User Files or Converted Files after processing ends does not mean that Paidpeper collects no information at all.

To operate the Service, Paidpeper may process information such as:

• Account name and email address;
• authentication and Account information;
• credit balance and purchase history;
• payment transaction references;
• conversion direction;
• file type;
• file size;
• conversion status;
• Credits consumed or returned;
• timestamps;
• technical, security and anti-abuse information; and
• information you voluntarily provide when contacting support.

The metadata retained by Paidpeper does not include the contents of User Files or Converted Files.

Paidpeper's processing of personal data is described in the Privacy Policy.

The Privacy Policy should be read together with these Terms.

17. No Warranty as to Conversion Results

To the maximum extent permitted by applicable law, the Service is provided on an "as available" basis.

File conversion is inherently dependent on the structure, encoding, condition and contents of the User File and on the capabilities and limitations of the input and output formats.

Paidpeper does not warrant that:

• every User File will convert successfully;
• a Converted File will be identical in appearance or behaviour to the User File;
• all metadata will be preserved;
• all fonts, layouts, embedded objects, formulas, macros, codecs, animation, formatting or other properties will survive conversion;
• the Service will meet every professional, technical or regulatory requirement; or
• a Converted File will be suitable for a particular purpose.

Where applicable consumer law gives you rights that cannot be excluded, those rights remain unaffected.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

This includes any liability that applicable law does not permit us to exclude or limit.

18.1 Business Users

If you use the Service for business or professional purposes, then, to the maximum extent permitted by law:

Paidpeper will not be liable for loss of profit, loss of revenue, loss of business, loss of opportunity, loss of goodwill, loss of anticipated savings, loss of data, or indirect or consequential loss arising from or relating to the Service.

Paidpeper's total aggregate liability arising from or in connection with the Service will not exceed the total amount you paid to Paidpeper during the twelve months immediately preceding the event giving rise to the claim.

18.2 Consumers

If you use the Service as a consumer, nothing in these Terms limits any mandatory rights or remedies available to you under applicable consumer law.

Paidpeper will not be responsible for loss that was not reasonably foreseeable, for loss resulting from your misuse of the Service, or for business losses arising where the Service was acquired wholly for private consumer use, except where applicable law requires otherwise.

19. Business Indemnity

If you use the Service in the course of a business, you agree, to the extent permitted by applicable law, to indemnify Paidpeper against reasonable third-party claims, liabilities, losses and expenses arising directly from:

• your unlawful use of the Service;
• your infringement of another person's intellectual property or other rights;
• files submitted by you without the required rights or authorisations; or
• your material breach of these Terms or the Acceptable Use Policy.

This Section does not apply to the extent a claim was caused by Paidpeper's own breach of these Terms or other conduct for which Paidpeper is legally responsible.

20. Suspension and Termination

You may stop using the Service at any time.

You may request closure of your Account using the available Account functionality or by contacting us.

Paidpeper may restrict, suspend or terminate an Account where:

• you materially breach these Terms or the Acceptable Use Policy;
• you attempt to compromise the security or operation of the Service;
• your activity creates an unreasonable risk to the Service or other users;
• payment is reversed, fraudulent or otherwise invalid;
• we are required to do so by law; or
• continued provision of the Service to you is no longer reasonably possible.

Where a breach is not serious and can reasonably be corrected, we may give you an opportunity to correct it before permanently closing the Account.

Unused Credits may be forfeited where an Account is terminated because of a serious breach by you, except where applicable law requires otherwise.

Where Paidpeper permanently closes your Account for reasons unrelated to your breach and you have unused purchased Credits, we will provide an appropriate remedy, such as allowing reasonable use of the Credits before closure or providing a refund for the affected unused balance, where reasonably possible or legally required.

Termination does not affect rights and obligations that arose before termination.

21. Changes or Discontinuation of the Service

We may update, modify or discontinue individual parts of the Service.

If Paidpeper intends to discontinue the paid Service entirely, we will use reasonable efforts to provide advance notice where practical.

Where discontinuation prevents you from using material unused purchased Credits, Paidpeper will provide a reasonable remedy where required by applicable law.

22. Changes to These Terms

We may amend these Terms from time to time.

The current version will be published on the Paidpeper website and will show the date on which it was last updated.

Changes normally apply to use of the Service after the updated Terms take effect.

Where a change materially affects existing paid users, we may provide additional notice where reasonably appropriate.

Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by applicable law.

No change to these Terms limits rights that already accrued before that change.

23. General Legal Terms

23.1 Events outside our control

Paidpeper is not responsible for a delay or failure caused by events outside our reasonable control, including internet or infrastructure failures, power failures, natural disasters, governmental actions, war, civil disturbance, labour disputes or failures of services on which the operation of the internet reasonably depends.

23.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

23.3 No waiver

If Paidpeper does not immediately enforce a provision of these Terms, that does not mean Paidpeper has waived the right to enforce it later.

23.4 Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent, except where applicable law gives you a right to do so.

Paidpeper may transfer its rights and obligations as part of a restructuring, financing, sale or transfer of the business, provided that doing so does not reduce mandatory rights available to consumers.

23.5 Entire agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy and any additional terms expressly agreed between you and Paidpeper, constitute the agreement governing your use of the Service.

23.6 Independent relationship

Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between you and Paidpeper.

24. Governing Law and Disputes

These Terms and disputes relating to the Service are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from or relating to these Terms, subject to any mandatory jurisdiction rights available to consumers.

If you are a consumer resident in a country whose mandatory consumer laws give you additional protections or the right to bring proceedings in your country of residence, these Terms do not take those rights away.

Before starting formal proceedings, you and Paidpeper are encouraged to contact the other party and attempt to resolve the issue directly.
